Terms and conditions

Last updated

These terms apply whenever you buy or download a module from this site. Please read them with the licence terms, which say how you may use a module, and the refund policy.

1. Who we are

This site, softawarecommerce.com, is run by SoftAware Commerce Ltd, a private limited company registered in England and Wales and based in Hertfordshire, United Kingdom (“we”, “us”). Company number 12866059. Registered office: 48 Roundmoor Drive, Cheshunt, Waltham Cross, EN8 9HE, United Kingdom.

You can reach us at info@softawarecommerce.com or through the contact form. Once you have bought a module, the quickest way to reach us about it is a support ticket.

2. Words we use

  • Module: a Magento 2 extension sold or offered for free on this site, including its documentation and the updates we release for it.
  • Licence: your right to use a module, as described on the licence page.
  • Update period: the 12 months after a purchase (or renewal) during which new versions of the module are available to you.
  • You: the person or business that places the order. If you order for a business, you confirm that you may accept these terms on its behalf.

3. Your account

You need an account to buy or download modules: it holds your licences, downloads, Composer keys, invoices and support tickets. Keep your password and your Composer private keys secret. You are responsible for what is done with them, and you can revoke a key at any time under My account → Composer keys. Tell us straight away if you think someone else is using your account.

4. Orders and the contract

Module pages describe what each module does and which Magento, Adobe Commerce and PHP versions it supports. When you place an order you make an offer to buy the modules in your basket. The contract is formed when we confirm your order by email. We may decline an order, for example if a product was listed at an obvious pricing error; if we do, you will not be charged, or we will refund you in full.

5. Prices and payment

  • Prices are shown in US dollars (USD). You can switch the site to euros (EUR) or pounds sterling (GBP); those prices are converted at the day’s European Central Bank rate, and you pay in the currency selected at checkout. The total shown at checkout, including any VAT or similar tax that applies, is the amount you pay.
  • SoftAware Commerce Ltd is not registered for VAT in the UK, so UK VAT is not added to our prices. Where a sales tax such as VAT applies to your purchase, for example as a buyer in the European Union, it is calculated at checkout by our payment provider Stripe and shown before you pay.
  • Some modules have one price for Magento Open Source and a higher one for Adobe Commerce. You choose the platform at checkout and the licence records it.
  • Payment is taken by Stripe when you place your order, by card or another payment method Stripe offers at checkout. We never see or store your full card details.
  • A licence is a one-off payment. There is no subscription and nothing renews automatically.
  • Free modules cost nothing. They are ordered in the same way, so that they appear in your account with Composer access and updates.

6. Delivery

Modules are digital products: nothing is posted. As soon as your payment has been confirmed, each module appears in My account → My modules, where you can download it as a zip file or install it with Composer from our private repository, repo.softawarecommerce.com, as described in Composer access. We also confirm your order by email.

7. Updates and renewals

  • Every purchase includes 12 months of updates from the date of the order: new versions and fixes, through Composer and as zip downloads.
  • Versions released during your update period stay available to you after it ends, so existing installations and deployments keep working.
  • To receive versions released later, buy the module again (a renewal). If your update period is still running, the new 12 months are added to the end of it; otherwise they start on the date of the renewal.
  • We decide what goes into updates. We may change or remove features, and we may stop developing a module; versions you are entitled to remain available to you.

8. Your licence

Modules are licensed, not sold. Each purchase gives you a licence on the terms of the licence page: in short, one production domain per licence, staging and development copies included, and no redistribution. The modules check their licence as described there.

9. Support

If you have bought a module (or ordered a free one), you can open support tickets about it from your account, with no time limit. Support covers installing, configuring and using the module and fixing faults in it. It does not include custom development, changes to third-party code or the general maintenance of your store; our agency, SoftAware Commerce, can quote for that work separately.

10. Refunds and your right to cancel

You can ask for a full refund of any purchase within 30 days of the order, for any reason, as set out in the refund policy. A refunded purchase is removed from your licence.

If you buy as a consumer, the law gives you 14 days to cancel a contract for digital content, but that right ends once you start downloading or installing the module with your consent. Our 30-day money-back guarantee is in addition to that right and lasts at least as long, so in practice you can ask for your money back within 30 days whether or not you have downloaded the module. None of this affects your other statutory rights; for example, digital content must be as described, fit for purpose and of satisfactory quality.

11. Your responsibilities

  • Check that the module supports your Magento or Adobe Commerce version, PHP version and theme before you install it.
  • Install new modules and updates on a staging or development copy first, and keep backups of your store’s code and database.
  • Use modules lawfully. Where a module processes personal data on your store (for example customer accounts or orders), you remain responsible for that processing as the store’s data controller.

12. Our liability

Modules are supplied with reasonable care and skill and as described on their pages. Magento stores differ widely, however, and other extensions, themes or customisations can interfere with a module; we will help through support, but we cannot promise that a module will work with every combination of software or without interruption.

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law, including your statutory rights as a consumer.

Subject to that:

  • if you are a business, we are not liable for loss of profits, sales, business, revenue or data, business interruption, or any indirect or consequential loss, and our total liability to you arising from a purchase is limited to the price you paid for it;
  • if you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or of our failing to use reasonable care and skill. If defective digital content we supplied damages a device or other digital content belonging to you, we will either repair the damage or pay you compensation. We are not liable for business losses: modules are intended for running online stores, so if you use them for a business we have no liability to you for loss of profit, loss of business, business interruption or loss of business opportunity.

13. Intellectual property

The modules, their documentation and this site are owned by SoftAware Commerce Ltd or its licensors. Apart from the licence you buy, no rights are transferred to you. Third-party open-source components included in a module remain under their own licences.

14. Suspending accounts and licences

We may suspend Composer keys, downloads or an account if there is clear misuse, for example keys shared publicly, modules redistributed against the licence terms, or payments reversed by a chargeback. We will tell you why and give you the chance to put things right where that is reasonable.

15. Changes to these terms

We may update these terms from time to time. The version on this page when you place an order applies to that order.

16. Law and disputes

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you can also bring proceedings in your local courts. If something goes wrong, please contact us first at info@softawarecommerce.com: we will do our best to sort it out.
